Welcome to Calldup. These Terms of Service ("Terms") govern your access to and use of the Calldup platform, website, and services (collectively, the "Service") operated by Calldup ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility and Age Requirements

Calldup is designed for high school student-athletes, their families, and others involved in the college athletic recruiting process. To use the Service, you must be at least 13 years of age. If you are between the ages of 13 and 17, you must have the consent of a parent or legal guardian to create an account and use the Service. By using the Service on behalf of a minor, a parent or guardian represents and warrants that they have the authority to bind the minor to these Terms.

Users under the age of 13 are not permitted to create an account or use the Service in compliance with the Children's Online Privacy Protection Act (COPPA).

2. Account Registration

To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Each account is for a single individual user. You may not share your account credentials with any other person or allow multiple individuals to use a single account. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or misused.

3. Subscription and Payment Terms

Calldup offers a subscription-based service at a rate of $17.99 per month. New subscribers receive a 3-day free trial beginning on the date of account creation. If you do not cancel your subscription before the end of the free trial period, your payment method will be automatically charged the monthly subscription fee.

Your subscription will automatically renew at the end of each monthly billing cycle at the then-current subscription rate unless you cancel prior to the renewal date. You authorize us to charge your payment method on file for each renewal period.

All payments are processed securely through Stripe, our third-party payment processor. We do not store your full credit card or debit card number on our servers. By providing payment information, you represent and warrant that you are authorized to use the payment method provided.

4. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation, you will retain access to the Service through the end of your current paid billing period. No prorated refunds will be issued for partial months of service.

If you cancel during the 3-day free trial period, you will not be charged. After the trial period, all charges are non-refundable except as required by applicable law or at our sole discretion.

5. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. Specifically, you agree not to:

Provide false, misleading, or inaccurate information in your profile or any other part of the Service.
Use the Service to harass, threaten, or impersonate any person or entity.
Attempt to gain unauthorized access to any part of the Service, other user accounts, or any systems or networks connected to the Service.
Use automated scripts, bots, scrapers, or other automated means to access the Service or extract data from it.
Reproduce, distribute, modify, or create derivative works of any content provided through the Service without our prior written consent.
Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.

6. User Responsibilities

You are solely responsible for the accuracy and completeness of the information you provide to the Service, including your athletic profile, academic records, and personal details. Providing inaccurate information may result in unreliable recommendations and analysis from our AI-powered features.

You are responsible for ensuring that your use of the Service complies with all applicable NCAA, NAIA, NJCAA, and other governing body rules and regulations regarding recruiting communications and eligibility. The Service does not guarantee compliance with any specific athletic association's rules.

7. AI-Generated Content Disclaimer

Calldup uses artificial intelligence technology to provide personalized recruiting insights, program analysis, eligibility assessments, coach outreach drafts, and other features. While we strive to provide helpful and accurate information, AI-generated content may contain errors, inaccuracies, or outdated information.

AI-generated content is provided for informational purposes only and should not be relied upon as the sole basis for any recruiting, academic, or financial decisions. You should independently verify all information, including program details, scholarship availability, eligibility requirements, and coach contact information, before taking action.

We do not guarantee the accuracy, completeness, or timeliness of any AI-generated content, and we disclaim all liability arising from your reliance on such content.

8. Data Usage

By using the Service, you consent to the collection, processing, and use of your profile data, athletic information, academic records, and usage data to power our AI-driven features and to improve the Service. Your data may be processed by third-party AI services to generate personalized recommendations and analysis. For full details on how we handle your data, please review our Privacy Policy.

9. Intellectual Property

All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, software, and the overall design and arrangement of the Service, are the exclusive property of Calldup or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

You retain ownership of the information and content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your content solely for the purpose of providing and improving the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALLDUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED CONTENT, WILL BE ACCURATE OR RELIABLE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Calldup and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Service, your violation of these Terms, or your violation of any rights of any third party.

12. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, limitation of liability, indemnification, and governing law.

13. Modifications to the Terms

We may revise these Terms from time to time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last updated" date above. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
